Terms of Service
These Terms of Service ("Terms") govern access to and use of CliPMe.AI, including its website, web application, AI video generation tools, credit system, project tools, and related services (collectively, the "Service").
The Service is provided by CLIPME AI INC, a corporation incorporated in Delaware, United States ("Company", "we", "us", or "our").
By creating an account, purchasing credits, accessing the Service, or using any feature of the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding agreement. If you use the Service on behalf of a company, organization, client, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. You may not use the Service if applicable law prohibits you from doing so.
2. Description of the Service
CliPMe.AI is a web-based software platform that enables users to create and process AI-generated video and related media — using text, images, video, audio, prompts, storyboards, settings, and other materials submitted by users. Features include text-guided and image-to-video generation, storyboard workflows, AI-generated images, text-to-speech narration, an AI voice changer (which transforms audio into a selected preset voice — it does not clone or replicate a specific person's voice), and talking-avatar composition.
The Service uses third-party artificial-intelligence models, cloud infrastructure, file-storage services, and other technology providers. Available features, models, processing times, output lengths, resolutions, and credit costs may change.
AI-generated results may vary. We do not guarantee that an output will: exactly follow every instruction; be free from visual, audio, factual, or technical errors; be unique; be eligible for copyright or other intellectual-property protection; be legally cleared for publication, advertising, or commercial use; be suitable for a particular platform, audience, or purpose; or remain available indefinitely. You are responsible for reviewing each output before using, publishing, distributing, or relying on it.
3. Accounts and account security
You must provide accurate and current registration information. You are responsible for protecting your password and authentication credentials, all activity conducted through your account, ensuring authorized team members comply with these Terms, and promptly notifying us of suspected unauthorized access or security incidents.
You may not sell, transfer, sublicense, or provide unauthorized access to your account. We may require identity, ownership, or consent verification where reasonably necessary for safety, compliance, fraud prevention, or protection of third-party rights.
4. Credits
Some Service features require credits. Credits are units of usage within CliPMe.AI. They are not money, electronic money, cryptocurrency, stored value, gift cards, or financial instruments; have no cash value; cannot be redeemed for cash; and cannot be transferred, traded, or resold. They may only be used for eligible features within the Service and are deducted according to the operation selected by the user.
The estimated credit cost is displayed before a generation or processing operation is confirmed. Different models, durations, resolutions, output formats, and workflows may require different credit amounts. Unless clearly stated otherwise at the time of purchase, purchased credits do not expire. Promotional, bonus, trial, or complimentary credits may have separate conditions and expiration periods, which will be disclosed when granted. We may change the credit cost of future operations; such changes will not remove credits already present in your account.
5. Orders, payments, and Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Paddle processes payments, calculates and collects applicable transaction taxes, issues transaction documentation, and handles payment-related refunds and disputes under Paddle's applicable buyer terms and policies. You must provide complete and accurate billing information. The final price, currency, tax, billing frequency, and total amount payable will be displayed before the transaction is completed. We do not directly collect or store complete payment-card details for transactions processed by Paddle. You must not issue a payment dispute or chargeback fraudulently or abusively.
6. Refunds and cancellations
Purchases are subject to the Refund Policy. Refund requests must be processed through Paddle. We do not issue transaction refunds directly to the original payment method. Nothing in these Terms limits any consumer rights that cannot legally be excluded.
7. User Content
"User Content" means all prompts, text, images, videos, audio, voices, logos, trademarks, characters, storyboards, files, data, instructions, and other materials uploaded, submitted, linked, or otherwise provided through the Service.
You retain ownership of your User Content. You grant the Company a worldwide, non-exclusive, limited license to host, store, copy, transmit, process, adapt, and display User Content only as reasonably necessary to provide the Service, process the requested generation, store and deliver outputs, operate project features, prevent fraud and abuse, moderate content and enforce our policies, provide customer support, and comply with law. Unless separately and explicitly agreed, we do not claim ownership of User Content.
You represent and warrant that: you own the User Content or possess all rights, licenses, permissions, and consents necessary to use it; your submission and use of the User Content does not violate copyright, trademark, privacy, publicity, confidentiality, contractual, moral, biometric, data-protection, or other rights; you have explicit consent where an identifiable person's face, voice, likeness, personal data, or performance is used; your User Content is not unlawful, deceptive, abusive, exploitative, or prohibited by our Acceptable Use Policy; and you are not using the Service to impersonate a person or mislead viewers about a person's participation, statements, actions, or endorsement.
8. Human likeness, voice, and consent
You may not use an identifiable person's face, likeness, voice, image, or personal attributes without all permissions and legally valid consents required for the intended use.
You may not use the Service for: non-consensual face swaps; deceptive or harmful deepfakes; voice impersonation without authorization; false endorsements; identity fraud; non-consensual intimate content; misleading content intended to deceive viewers about a real person's actions or statements; political deception or voter manipulation; or harassment, defamation, blackmail, or reputational harm.
Where requested, you must provide evidence of consent and authorization. We may reject, block, remove, or investigate content and may suspend an account where we reasonably believe that consent or authorization is missing.
9. AI-generated Output
"Output" means video, images, audio, text, metadata, or other material generated or processed through the Service. As between you and the Company, and to the extent permitted by law, you retain your rights in User Content and receive any rights that the Company may have in Output generated specifically for your account. This does not grant rights owned by third parties.
You acknowledge that: similar or identical outputs may be generated for other users; AI output may include unintended similarities to existing content; laws concerning ownership and copyright of AI-generated material differ by jurisdiction; the Company does not provide legal clearance or intellectual-property warranties; you are responsible for assessing whether an output may be lawfully used; and you must not remove provenance, disclosure, or safety information where removal is prohibited by law or platform rules.
10. Acceptable Use Policy
Your use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms. You may not attempt to bypass content controls, security controls, rate limits, payment controls, model restrictions, moderation systems, or credit deductions.
11. Intellectual property in the Service
The Company and its licensors own the Service, including its software, interfaces, workflows, documentation, branding, design, databases, and proprietary technology. These Terms do not grant permission to copy or reproduce the Service; reverse engineer it (except where applicable law expressly permits); extract source code; resell or sublicense access; scrape protected content or data; use the Service to build a competing product using unauthorized access to proprietary features; or remove copyright, trademark, security, or attribution notices.
12. Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided that we do not identify you publicly without permission.
13. Third-party services
The Service relies on third-party AI models, cloud services, and other providers. Third-party services may have their own terms, availability limits, acceptable-use rules, and data-processing practices. We are not responsible for interruptions, changes, errors, or discontinuation caused by third-party services outside our reasonable control.
14. Service availability and changes
We may update, change, suspend, or discontinue features, models, integrations, or workflows. We do not guarantee uninterrupted or error-free availability. Maintenance, safety controls, provider outages, capacity limitations, legal requirements, or security incidents may delay or prevent processing.
Where a generation fails because of a verified technical error and no usable output is delivered, we may restore the associated credits. Credit restoration is not an admission of fault and is normally the primary remedy for a failed generation.
15. Support
Product support is available by email at support@clipme.ai, by phone at +357 94104222, and via our Support page. Payment, receipt, tax, and refund support may also be available through Paddle's buyer support tools.
16. Suspension and termination
We may restrict, suspend, or terminate access where we reasonably believe these Terms or the Acceptable Use Policy were violated; the Service was used unlawfully or deceptively; content creates a safety, legal, fraud, security, financial, or reputational risk; required rights or consents are missing; a transaction is fraudulent, reversed, or disputed; an account attempts to bypass technical or billing controls; a provider, court, or regulator requires action; or continued use may harm users, the Company, Paddle, or third parties.
You may stop using the Service at any time. Account termination does not automatically create a refund right. Sections that by their nature should survive termination will remain effective, including intellectual property, disclaimers, limitations of liability, indemnity, and dispute provisions.
17. Privacy
Our collection and use of personal information is described in the Privacy Policy.
18. Copyright and rights complaints
If you believe content processed through the Service infringes your rights, contact support@clipme.ai or use our copyright & likeness report page. We may remove or restrict content and may terminate repeat infringers.
19. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available." The Company disclaims express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, satisfactory quality, and uninterrupted operation. We do not warrant that outputs will meet subjective creative expectations, be unique, be free from third-party claims, that every generation will complete, that the Service will be continuously available, or that generated content will be legally protectable or commercially suitable. Nothing in this section excludes warranties or rights that cannot legally be excluded.
20. Limitation of liability
To the maximum extent permitted by law, the Company and its officers, directors, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of opportunity, or reputational harm.
To the maximum extent permitted by law, the Company's aggregate liability arising from or related to the Service will not exceed the greater of the amount paid by you for the Service during the six months before the event giving rise to the claim, or USD 100. This limitation does not apply where liability cannot legally be limited.
21. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company and its affiliates from claims, damages, losses, liabilities, costs, and expenses arising from your User Content; your use, publication, or distribution of Output; missing rights, licenses, or consents; your violation of these Terms or of law; your infringement or violation of third-party rights; or fraudulent, deceptive, or harmful activity conducted through your account.
22. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to mandatory consumer-protection law, courts located in New Castle County, Delaware will have exclusive jurisdiction over disputes involving the Company. Transactions processed by Paddle may also be subject to Paddle's buyer terms, refund policy, and dispute provisions.
23. Changes to these Terms
We may update these Terms. The revised version will be published on this page with an updated effective date. Where required by law or where a change is material, we may provide additional notice through the Service or by email.
